TERMS & CONDITIONS FOR COACHING SERVICES

These Terms and Conditions govern the purchase and use of coaching services provided by Coach Milap ("Coach Milap" or "Coach"). By proceeding with the payment, the individual ("Client" or "Coachee" or "Sponsor") agrees to be bound by these Terms.

1. Nature of Coaching Services

Coaching is a professional partnership designed to support personal, professional, or business growth through thought-provoking and creative conversations. These services are not therapy, counseling, or medical treatment. Coaching sessions are designed to help clients gain clarity, set goals, and take actionable steps toward desired outcomes.

Definition by ICF:

“Partnering with clients in a thought-provoking and creative process that inspires them to maximize their personal and professional potential.”

2. Scope of Services

Personalized Sessions & other programs:

Personalized coaching or other offering sessions/service based on the specific goals, aspirations, and challenges identified by the Client and will be conducted at mutually agreed times and locations.

Tailored to the client’s goals, which may include areas such as career, relationships, health, personal growth, spirituality, and business development or other according to clients goals.

Delivery Methods: Sessions may be held via in-person meetings, Zoom, Google Meet, Skype, or phone.

Client is solely responsible for creating and implementing his/her own physical, mental and emotional well-being, decisions, choices, actions and results arising out of or resulting from the coaching relationship and his/her coaching calls and interactions with the Coach.

The Client agrees that the Coach is not and will not be liable or responsible for any actions or inaction, or for any direct or indirect result of any services provided by the Coach.

3. Program Duration & Scheduling

Duration, frequency, and number of sessions will be communicated clearly before purchase or mutually agreed after the payment.

Each session will be conducted at a mutually convenient time.

Rescheduling requires at least 8 hours' notice. Failure to provide notice for more than 2 consecutive sessions may lead to termination.

More than 3 missed sessions may also lead to termination or forfeiture of service.

If the Client cancels a session without sufficient notice the Coach reserves the right to terminate the agreement and/or charge for the missed sessions/ or the full session / program.

4. Payment Terms

Full Payment is required before the start of the first session unless an installment plan is agreed upon in writing.

If the Client feels satisfied with a fraction of the predetermined sessions and decides not to continue with the remaining sessions, the Client is still legally obligated to pay for the full set of predetermined sessions as agreed upon in the contract.

Installment Option: If offered, consists of 3 equal payments over 3 months. Failure to pay may result in service suspension.

Invoices will be issued within 5 working days of receiving payment.

No Refund Policy: Clients remain liable for the full payment even if they discontinue coaching mid-way. Unused sessions are non-refundable.

Travel & Accommodation (if applicable): Any in-person engagements requiring travel & Accommodation must be fully arranged and paid for by the client or sponsor.

5. Client Responsibilities

Clients are expected to:

Show up prepared, punctual, and committed to the coaching process.

Take full responsibility for their choices, actions, and progress.

Understand coaching is not therapy, consulting, or advisory work.

Refrain from expecting solutions or recommendations as coaching focuses on facilitating client-driven discovery.

Schedule sessions when they are emotionally and physically ready to engage.

The Client acknowledges that coaching sessions may be personally, emotionally, and physically challenging and may evoke strong emotions such as frustration, annoyance, stress, etc.

The Client agrees to schedule sessions at a time when they are in an optimal physical, mental, and emotional state to fully engage in the coaching process.

If the Client feels unwell or unable to fully participate, they should reschedule the session in advance to ensure productive engagement.

6. Confidentiality

All coaching conversations and client information are kept confidential.

Confidentiality does not apply in cases involving:

Legal requirements.

Threats to self or others.

Illegal activities.

Coaching sessions may be recorded (with prior consent) for internal training , quality purposes or reference purposes.

7. Media & Content Usage

Client testimonials, feedback, and anonymized data may be used for marketing unless opted out in writing.

Images, names, or recordings will only be used with implied or express consent.

Clients may revoke this consent in writing, but existing material cannot be retroactively removed.

8. Intellectual Property

All tools, worksheets, templates, and materials provided during sessions remain the intellectual property of the Coach and may not be reproduced or distributed without written permission.

9. Expiry & Session Validity

All purchased sessions must be completed within the stipulated period shared at the time of purchase (e.g., 45, 90, or 135 days).

If there is no contact for 24 consecutive days, remaining sessions will expire without refund.

10. Termination

Either party may terminate the coaching engagement with written notice (30 days by client, 20 days by coach).

If the client violates the terms (e.g., repeated cancellations, missed payments), the Coach may issue a 3-day notice to resolve the issue before termination.

No refunds will be provided for early termination; however, sessions may be transferred or rescheduled at the Coach’s discretion.

11. Limitation of Liability

Coaching is a collaborative and exploratory process and does not guarantee specific outcomes.

The Coach is not responsible for client actions, choices, or results.

The Coach shall not be liable for any incidental, consequential, or indirect damages.

12. Additional Clauses

Coach Credentials: Coach Milap has completed Level 2 (PCC) training with Coacharya (ICF accredited).

This certification ensures that the Coach is reasonably capable of delivering professional coaching services as outlined in this Agreement.

The Coach makes no representation or warranty that any support methods or sessions will work for the Client’s particular circumstances. The Client will not hold the Coach responsible for the failure (in whole or part) to achieve any of their goals.

The Coach is engaged solely as an independent contractor and not as an employee, agent, or representative of the Client. The Coach has no authority to bind or represent the Client or any other party in any way. The Client agrees not to hold any party liable for any act, matter, or thing done or to be done by the Coach in the course of providing coaching services.

Substitute Coach: In rare cases, a qualified substitute coach may be assigned.

Dispute Resolution: Both parties agree to attempt resolution via mediation before taking legal action.

Jurisdiction: These terms are governed by the laws of the Coach’s country of residence. Disputes will be resolved in local courts.

Record Retention: Records will be maintained for at least 3 years.

Severability: If any term is found invalid, the remaining terms remain in effect.

Indemnity: Clients agree to indemnify the Coach from claims arising out of the coaching engagement.

By completing your payment or adhering to Coach Milap services , you acknowledge that you have read, understood, and agreed to these Terms & Conditions.
